The documents which you may access by your acceptance of the terms and conditions set out herein are an electronic reproduction in *pdf format of each of:

• the prospectus dated 9 March 2004 (the "Prospectus") lodged with the Australian Securities and Investments Commission ("ASIC") on that date by AXG Mining Limited ("AXG"); and
• a supplementary prospectus lodged by AXG on 9 June 2004 ( the "Supplementary Prospectus") pursuant to a modification to the Corporation Act 2001 ("the Act") which had the effect of extending the period for AXG to obtain approval for quotation on the Australian Stock Exchange limited ("ASX") for a period of 3 months from that date and which includes a new Application Form which must be used by all Applications to Shares made hereafter;

Application for Shares may now only be made on the Application Form that is attached to the Supplementary Prospectus.

The Offer of Shares contained in Prospectus and the Supplementary Prospectus will now remain open from 9 June 2004 until 5.00 pm WST on 30 August 2004 and the Directors of AXG have the right to close the issue at an earlier date, all without any requirement of prior notice being given to Applicants.

Neither ASIC nor ASX take any responsibility for the contents of the Prospectus and the Supplementary Prospectus.

Persons who access the Prospectus and the Supplementary Prospectus in *pdf format should note that the Shares offered by the Prospectus and the Supplementary Prospectus should be considered speculative.

The Shares to which the Prospectus and the Supplementary Prospectus relate will only be issued on receipt of an Application Form issued attached to the Supplementary Prospectus. There is no facility for online applications.
